These Terms of Service (“Terms”) govern your access to and use of the website, services, and staffing solutions provided by Expansion Desk LLC (“Expansion Desk”, “we”, “us”, or “our”). Please read them carefully. By accessing our website, submitting an enquiry, booking a consultation, or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

1. Definitions

• “Client”, “you”, or “your” means the individual or business entity that engages Expansion Desk for services.
• “Virtual Assistant” or “VA” means a remote professional sourced, vetted, and placed by Expansion Desk to perform services for a Client.
• “Services” means the sourcing, vetting, placement, management, and support services provided by Expansion Desk, including all roles listed on our website.
• “Engagement” means the agreed arrangement under which a Virtual Assistant performs work for a Client.
• “Website” means expansiondesk.com and any associated subdomains, landing pages, and booking pages operated by us.

2. Our Services

Expansion Desk provides remote staffing and virtual assistant services to businesses. We source, screen, and place skilled remote professionals, including but not limited to general virtual assistants, customer support executives, appointment setters, lead generation specialists, SEO specialists, social media managers, digital marketing managers, web developers, bookkeepers, medical billers, and graphic designers.

We act as a staffing and placement partner. The specific scope, schedule, rate, and duration of each Engagement are agreed between you and Expansion Desk before the Engagement begins and are set out in your service agreement, proposal, or written confirmation.

We reserve the right to modify, suspend, or discontinue any part of our Services at any time. Where a change affects an active Engagement, we will give you reasonable advance notice.

3. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract to use our Services. If you are using our Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

4. Enquiries, Consultations, and Information You Provide

When you submit a form, request a quote, or book a consultation, you agree to provide accurate, current, and complete information. You are responsible for keeping that information up to date.

Submitting an enquiry does not create a binding engagement. An Engagement begins only when both parties have confirmed the scope and commercial terms in writing.

5. Matching, Placement, and Replacement

We aim to present suitable candidates within the timeframe communicated to you at the time of enquiry. Candidate availability varies by role, skill set, and time zone requirements, and any timeframe we quote is an estimate rather than a guarantee.

If a placed Virtual Assistant is not the right fit, you may request a replacement. We will work with you to identify a suitable alternative and manage the transition. Replacement requests should be raised in writing to [email protected], along with the reason for the request, so that we can address it promptly.

Replacement does not entitle you to a refund of fees already incurred for hours worked.

6. Fees, Billing, and Payment

Our fees are set out in your service agreement or written proposal. Unless agreed otherwise in writing:

• You are billed only for hours actually worked by the Virtual Assistant.
• There is no upfront registration fee to begin the matching process.
• Invoices are issued on the billing cycle stated in your service agreement and are payable by the due date shown on the invoice.
• All fees are quoted and payable in United States Dollars (USD) unless stated otherwise.
• You are responsible for any bank charges, transaction fees, or taxes applicable in your jurisdiction.

We may suspend an Engagement where an invoice remains unpaid beyond the agreed payment period, after giving you written notice and a reasonable opportunity to settle the account.

7. Promotions and Discounts

From time to time we may offer promotional discounts or introductory offers. Unless stated otherwise in the offer, promotions apply to new Clients only, apply to the first Engagement only, cannot be combined with any other offer, have no cash value, and may be withdrawn or amended at any time before an Engagement is confirmed. Specific eligibility conditions and expiry dates will be stated with the offer.

8. Cancellation and Termination

Either party may end an Engagement by giving the other party written notice in accordance with the notice period set out in your service agreement. Where no notice period has been agreed in writing, seven (7) days’ written notice applies. You remain responsible for all fees for hours worked up to the effective date of termination.

We may suspend or terminate an Engagement immediately, without notice, where there is non-payment beyond the agreed period, a breach of these Terms, unlawful or unsafe instructions given to a Virtual Assistant, or abusive, discriminatory, or harassing conduct toward our staff or placed professionals.

9. Direct Engagement and Non-Solicitation

Expansion Desk invests significant time and cost in sourcing, screening, and training the professionals we place. Accordingly, during an Engagement and for a period of twelve (12) months after it ends, you agree not to directly or indirectly employ, contract, or otherwise engage any Virtual Assistant introduced to you by Expansion Desk, outside of our platform, without our prior written consent.

Where you wish to engage a professional directly, please contact us. A direct engagement or buyout fee may apply, as set out in your service agreement.

10. Your Responsibilities as a Client

You agree to:

• Provide clear instructions, reasonable training, and the access required for the Virtual Assistant to perform the agreed work.
• Provide any software licences, tools, or system access necessary for the role.
• Treat placed professionals with professional courtesy and in accordance with applicable anti-discrimination and anti-harassment standards.
• Not direct a Virtual Assistant to perform any unlawful, fraudulent, or deceptive activity.
• Not request work that infringes the intellectual property or privacy rights of any third party.
• Raise any performance concerns with Expansion Desk promptly so that they can be addressed.

11. Relationship of the Parties

Virtual Assistants placed by Expansion Desk are engaged as independent contractors or as personnel of Expansion Desk, and are not employees of the Client. Nothing in these Terms creates an employment relationship, partnership, joint venture, or agency between you and any placed professional, or between you and Expansion Desk.

You are not responsible for payroll taxes, benefits, or statutory employment obligations in respect of placed professionals, and you agree not to represent to any third party that a placed professional is your employee.

12. Confidentiality

Each party may receive confidential information belonging to the other in the course of an Engagement. Both parties agree to keep such information confidential, to use it only for the purposes of the Engagement, and not to disclose it to third parties except where required by law or where disclosure is necessary to professional advisers bound by equivalent confidentiality obligations.

We can arrange for placed professionals to sign a non-disclosure agreement on request. Please contact us before the Engagement begins if you require this.

This obligation survives termination of the Engagement.

13. Intellectual Property

All work product created by a Virtual Assistant specifically for you in the course of an Engagement, and paid for by you, belongs to you upon payment in full of the applicable fees.

All content on our Website, including text, graphics, logos, images, and software, is the property of Expansion Desk LLC or its licensors and is protected by applicable intellectual property laws. You may not copy, reproduce, republish, or distribute any part of our Website without our prior written permission.

14. Communications and Consent

By providing your contact details through our forms, you consent to be contacted by Expansion Desk by phone, email, SMS, or messaging application in connection with your enquiry and any resulting Engagement. Message frequency varies and message and data rates may apply. You may opt out of SMS messages at any time by replying STOP, and out of marketing emails by using the unsubscribe link in any email.

Opting out of marketing communications does not affect operational messages relating to an active Engagement, such as invoices, scheduling, or service notices.

Our handling of personal information is described in our Privacy Policy, which forms part of these Terms.

15. Third-Party Services and Links

Our Website and Services may link to or integrate with third-party websites, tools, and platforms. We do not control those third parties and are not responsible for their content, availability, privacy practices, or terms. Your use of a third-party service is governed by that provider’s own terms.

16. Disclaimers

Our Website and Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Website will be uninterrupted or error free, or that any particular business outcome, revenue result, or level of performance will be achieved through the use of our Services.

We do not provide legal, tax, accounting, medical, or financial advice. Where a placed professional performs work of a specialised nature, such as bookkeeping or medical billing, you remain responsible for review, oversight, and compliance with the regulations applicable to your business.

17. Limitation of Liability

To the fullest extent permitted by law, Expansion Desk LLC, its officers, members, employees, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or in connection with your use of our Website or Services, whether based in contract, tort, negligence, strict liability, or otherwise, and whether or not we have been advised of the possibility of such damages.

Our total aggregate liability arising out of or relating to these Terms or any Engagement will not exceed the total fees paid by you to Expansion Desk in the three (3) months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

18. Indemnification

You agree to indemnify, defend, and hold harmless Expansion Desk LLC, its officers, members, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or connected with your breach of these Terms, your misuse of our Website or Services, your instructions to a placed professional, or your violation of any applicable law or third-party right.

19. Force Majeure

Neither party will be liable for any failure or delay in performance caused by events beyond its reasonable control, including natural disasters, acts of government, war, civil unrest, labour disputes, epidemics, power or internet outages, or failures of third-party service providers. The affected party will notify the other promptly and use reasonable efforts to resume performance.

20. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict of law provisions.

Before initiating formal proceedings, both parties agree to attempt in good faith to resolve any dispute through direct discussion. Please contact us first at [email protected] so that we can try to resolve the matter.

Any dispute that cannot be resolved informally will be subject to the exclusive jurisdiction of the state and federal courts located in Hillsborough County, Florida, United States, and both parties consent to venue in those courts.

21. Changes to These Terms

We may update these Terms from time to time. The revised version will be posted on this page with an updated “Last updated” date. Where a change materially affects an active Engagement, we will notify you directly. Your continued use of our Website or Services after a change takes effect constitutes acceptance of the revised Terms.

22. Severability and Entire Agreement

If any provision of these Terms is found to be unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

These Terms, together with our Privacy Policy and any signed service agreement or written proposal, form the entire agreement between you and Expansion Desk in relation to our Services. Where a signed service agreement conflicts with these Terms, the signed service agreement prevails.
